Terms of Service

1. Acceptance of Terms

By accessing or using Studio Scale ("the Service"), operated by Studio Scale Inc. ("we", "us", "our"), you agree to be bound by these Terms of Service. If you do not agree, do not use the Service. You must be at least 18 years old to use the Service.

2. Description of Service

Studio Scale is a marketing platform that helps online sellers optimize listings, generate AI-powered social media content, and distribute it across Pinterest, Instagram, and Facebook. The Service includes AI-powered content generation, listing health analysis, multi-platform publishing, and performance analytics. The Service requires a paid subscription after any applicable free trial period.

3. Accounts

You must provide accurate and complete information during registration and keep it up to date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Each person may maintain only one account. Notify us immediately at support@studioscale.com if you suspect unauthorized access to your account.

4. AI-Generated Content

Studio Scale uses artificial intelligence (powered by OpenAI) to generate listing optimization suggestions, social media captions, and content variants. Content produced by these features is AI-generated. You are responsible for reviewing and approving all AI-generated content before it is published. Once you approve AI-generated content, you assume responsibility for that content. AI-generated suggestions are provided as-is and may not always be accurate, appropriate, or optimal for your specific situation.

5. Subscriptions & Billing

Paid subscriptions are billed monthly or annually through Stripe. Your payment method is charged at the start of each billing period (beginning when you subscribe or when your trial ends). Subscriptions automatically renew unless cancelled.

Cancellation: You may cancel your subscription at any time from your account settings or by contacting support@studioscale.com. Upon cancellation, you retain access to paid features until the end of your current billing period. No partial-period refunds are issued upon cancellation.

Price changes: We will notify you at least 30 days before any price increase takes effect.

6. Refunds

If you are unsatisfied with the Service, you may request a pro-rata refund within 7 days of your initial subscription or any renewal charge by contacting support@studioscale.com. Refund requests made after 7 days will not be honored. Refunds are processed back to your original payment method within 5–10 business days.

7. Content & Intellectual Property

You retain ownership of all listing content, images, and descriptions you provide. By using the Service, you grant Studio Scale a limited, non-exclusive, revocable license to process, optimize, and distribute your content on your behalf to your connected social media platforms. This license terminates when you delete your account.

AI-generated suggestions (titles, descriptions, captions) become your content once you approve them. Studio Scale does not claim ownership of AI-generated content you have approved.

8. Third-Party Platforms

The Service connects to third-party platforms including Pinterest, Instagram, and Facebook. Your use of those platforms is subject to their respective terms of service and policies. Studio Scale is not responsible for changes, outages, API modifications, or policy changes by third-party platforms that may affect the Service. You may revoke OAuth connections to any third-party platform at any time from your account settings or directly from the third-party platform's settings.

9. Prohibited Uses

You agree not to:

  • Use the Service to publish illegal, infringing, or deceptive content
  • Spam or abuse connected social media platforms through the Service
  • Share your account credentials with others
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Scrape, crawl, or use automated means to access the Service outside of its intended interface
  • Attempt to bypass rate limits, security measures, or access controls
  • Use the Service in any manner that violates applicable laws or regulations

Violation of these rules may result in immediate account suspension or termination.

10. Account Termination

By us: We may suspend or terminate your account at any time for violation of these Terms, with or without notice. In cases of severe abuse, we may terminate immediately. For other violations, we will make reasonable efforts to notify you and provide an opportunity to cure the violation.

By you: You may delete your account at any time from your account settings. Upon account deletion, your personal data and listing content will be deleted within 30 days. OAuth tokens and connected platform data are deleted immediately. Published content on third-party platforms (pins, posts) is not deleted — you must remove it directly from those platforms.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE DO NOT GUARANTEE ANY SPECIFIC MARKETING RESULTS, TRAFFIC INCREASES, OR SALES OUTCOMES FROM USING THE SERVICE. THIRD-PARTY PLATFORM AVAILABILITY AND API FUNCTIONALITY ARE OUTSIDE OUR CONTROL.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDIO SCALE'S TOTAL LIABILITY FOR ANY CLAIMS ARISING FROM OR RELATED TO THE SERVICE IS LIMITED TO THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM. IN NO EVENT SHALL STUDIO SCALE BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR BUSINESS OPPORTUNITY, REGARDLESS OF WHETHER WE WERE ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

13. Indemnification

You agree to indemnify, defend, and hold harmless Studio Scale and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorney's fees) arising from: (a) your use of the Service; (b) content you publish through the Service; (c) your violation of these Terms; or (d) your violation of any third-party rights.

14. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware. You consent to the personal jurisdiction of such courts.

15. Changes to Terms

We may update these Terms at any time. For material changes, we will provide at least 30 days' notice via email or in-app notification before the changes take effect. Continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree with the updated Terms, you must stop using the Service and delete your account.
